Section 8 Company (NPO) Registration

Transform Your Passion for Social Impact into a Recognized Legal Entity

A Section 8 Company is a specialized legal structure established under the Companies Act, 2013, designed specifically for promoting charitable objects. Unlike a Trust or a Society, a Section 8 Company offers the highest level of transparency and credibility, making it the preferred choice for major donors, government grants, and international funding. At Samyuta Tax Consultancy, we help social entrepreneurs and philanthropists navigate the licensing process to set up an entity dedicated to the public good.

What is a Section 8 Company?

A Section 8 Company is a “Company with Charitable Objects.” The core condition for this entity is that its profits (if any) or other income must be used solely for promoting its objects (like education, environment protection, or poverty relief). No dividend is paid to its members. Despite being a non-profit, it functions with the same professional structure as a Private Limited Company, offering Limited Liability to its promoters.

Key Advantages of Section 8 Registration

  • Separate Legal Identity: It is a distinct legal entity that can own assets and enter into contracts in its own name, independent of its founders.
  • Tax Exemptions: Section 8 Companies are eligible for significant tax benefits under Section 12A and 80G of the Income Tax Act, allowing donors to claim tax deductions.
  • No Minimum Capital: There is no requirement for a minimum paid-up capital. It can be started with very little funding.
  • Exemption from “Limited”: Unlike other companies, a Section 8 Company is not required to add “Limited” or “Private Limited” to its name. Names usually end with terms like Foundation, Council, or Association.
  • High Credibility: Because it is monitored by the Ministry of Corporate Affairs (MCA), it enjoys higher trust among government departments and corporate CSR (Corporate Social Responsibility) wings.

Objects of a Section 8 Company

A Section 8 Company can be incorporated for the promotion of:

  • Commerce, Art, Science, or Sports
  • Education and Research
  • Social Welfare and Religion
  • Charity and Protection of Environment
  • Any other useful object related to public welfare

Document Checklist for Incorporation

To obtain the license and certificate of incorporation, we require:

For Directors & Members (Minimum 2):

  • Identity Proof: PAN Card and Aadhaar Card.
  • Address Proof: Latest Bank Statement or Utility Bill.
  • Photographs: Recent passport-size digital photos.

For the Registered Office:

  • Address Proof: Electricity Bill or Gas Bill.
  • NOC & Rent Agreement: Signed NOC from the owner and a valid Rent Agreement (if leased).

Special Documents:

  • Work Draft: A detailed description of the proposed social work and a 3-year estimate of future income and expenditure.

Our Step-by-Step Licensing Process

Registering a Section 8 Company is more complex than a regular company because it requires a Central Government License.

  1. DSC & DIN: We obtain Digital Signatures and Director Identification Numbers for all promoters.
  2. Name Approval (RUN): We reserve a name that reflects your social mission.
  3. License Application (RD/ROC): We file the application for a license under Section 8, showcasing the charitable intent and financial viability.
  4. MOA & AOA Drafting: We draft specialized charter documents that strictly prohibit the distribution of profits to members.
  5. Incorporation (SPICe+): Once the license is granted, we file the final incorporation documents to get the Certificate of Incorporation, PAN, and TAN.
